Victoria Baylin helps emerging growth, development stage, and established companies to thrive by representing them in all aspects of general corporate and business law matters, including corporate governance, business operation, business and commercial transactions, acquisitions and dispositions, financing, and loan transactions throughout Maryland and the District of Columbia. Because of her experience as in-house general counsel to a technology company, she focuses on each company’s business objectives and views their legal needs through that lens.
Victoria relishes a challenge—when someone says something is just not possible, she says, “Watch me!” Victoria is skilled in preparing, reviewing, and negotiating corporate agreements, including operating, consulting, management, stockholder, voting, and indemnification agreements, as well as merger and stock/asset purchase and sale agreements. She also helps businesses with financing and investment (debt and equity) agreements, and loan documentation, including promissory notes, guaranty agreements, and pledge and other security agreements. She has served as securities counsel, acting as the primary point of counsel for her clients with the SEC, NASDAQ, and FINRA.
Victoria received her law degree from the Georgetown University Law Center, and her bachelor of arts from Smith College. She is admitted to practice in Maryland and Washington, DC. Prior to joining Lerch Early, she was with the Baltimore office of a large national firm.
For nearly ten years, Victoria has volunteered with Kids in Need Distributors (KIND), a local nonprofit that provides food to elementary school students who have no food when they’re not in school by filling backpacks with food and toiletries that are given to students in need on Fridays so they are provided for over the weekend. When not at work or stuffing backpacks, she loves to walk the shores of Rehoboth with her dachshunds, Dexter and Peanut.
